New pronouncement on entity naming convention.

Prakas No. 0169 on the Naming Convention of Legal Forms of Enterprises issued by the Ministry of Commerce comes into force from 12 August 2021 onward. The Prakas indicates specific words to be used to identify the legal form of the Enterprises as following:

• The name of a private limited company shall include the words “PRIVATE LIMITED COMPANY” or abbreviated as “CO., LTD.” at the end of or below the name.
• The name of a public limited company shall include the words “PUBLIC LIMITED COMPANY” or abbreviated as “PLC.” at the end of or below the name.
• The name of a sole proprietorship shall include the words “SOLE PROPRIETORSHIP” in front of the name.
• The name of a local branch of a Cambodian company shall be the same as the principal company and shall include the words “LOCAL BRANCH” above or in front of the name.
• The name of a Cambodian branch of a foreign company shall be the same as the principal company and shall include the words “FOREIGN BRANCH” above or in front of the name.
• The name of a representative office shall be the same as the principal company and shall include the words “COMMERCIAL REPRESENTATIVE OFFICE or COMMERCIAL RELATIONS OFFICE” above or in front of the name.
• The name of a general partnership shall use the word “GENERAL PARTNERSHIP” or abbreviated as “GP” at the end of or below the name.
• The name of a limited partnership shall use the word “LIMITED PARTNERSHIP” or abbreviated as “LP” at the end of or below the name.

Private limited companies and public limited companies who want to use the word HOLDING or GROUP must meet the following criteria:

1. Company name that includes the word HOLDING
   • Shall have at least 3 (three) subsidiaries registered in Cambodia
   • The principal company shall have business activity code number 642 (activity of holding companies) and shall provide capital to subsidiaries to operate the business while the principal company could not conduct business by itself
   • The principal company shall hold at least 51% of the voting shares in each subsidiary
     Company name that includes the word HOLDING
2. Company name that includes the word Group
   • Shall have at least 3 (three) subsidiaries registered in Cambodia
   • The principal company must hold at least 51% of the voting shares in each subsidiary
