Common questions.

What is the role of a company secretary in Cambodia?

The company secretary manages a company’s statutory compliance and administrative obligations under the Law on Commercial Enterprises. Core responsibilities include:

  • Maintaining statutory records at the registered business office
  • Preparing and filing the Annual Declaration of Commercial Enterprise (ADCE) with the Ministry of Commerce (MOC)
  • Handling changes to shareholding, directors or company details that require MOC notification
  • Preparing minutes and resolutions for board and shareholder meetings
  • Receiving legal documents and court notices on behalf of the company
  • Monitoring compliance deadlines to ensure timely filings and payments

For a full overview, see our guide to company secretary roles and responsibilities in Cambodia.

What are the legal requirements for appointing a company secretary in Cambodia?

All limited companies registered in Cambodia are required to appoint a company secretary under the Law on Commercial Enterprises. The appointment must be registered with the Ministry of Commerce Registrar. The requirement applies to all registered limited companies regardless of size, ownership structure or industry.

No professional qualification is prescribed by law, but the role demands practical knowledge of Cambodian corporate law, MOC filing procedures and governance obligations. For a broader overview of statutory governance obligations, see our guide to required governance positions in Cambodian businesses.

What are the residency and eligibility requirements for a company secretary in Cambodia?

The company secretary must be a natural person with a permanent address in Cambodia at all times. There is no nationality requirement, meaning a foreign national who is ordinarily resident in Cambodia can be appointed. Corporate entities cannot hold the position.

The permanent address requirement is a practical consideration for foreign-owned companies. If no suitable individual is available internally, the obligation is commonly met by appointing a nominee company secretary through a professional corporate services provider, while the company retains full operational control.

What are the annual compliance filing obligations for companies in Cambodia?

Companies in Cambodia face several recurring annual obligations. The three principal filings are:

  • The Annual Declaration of Commercial Enterprise (ADCE), submitted to the Ministry of Commerce through the CamDX online system, confirming the company’s continued existence, registered details and compliance status
  • Audited financial statements, submitted to the Accounting and Auditing Regulator (ACAR)
  • Annual tax returns, submitted to the General Department of Taxation (GDT)

These deadlines typically fall within the same compliance window, so coordinating them together reduces the risk of missed filings. Late or missed submissions can result in penalties and affect the company’s good standing with regulators. See our guide to annual filing requirements for Cambodia companies for a full overview of deadlines and obligations.

What meetings are required for companies in Cambodia?

Private limited companies in Cambodia are subject to two distinct meeting obligations under the Law on Commercial Enterprises. Directors meetings must be held quarterly, meaning four times per year, with each meeting requiring a formal agenda, documented conduct and signed minutes and resolutions. An Annual General Meeting (AGM) must also be held each year for shareholders, with advance notice given in accordance with the company’s articles and applicable law.

The quarterly directors meeting requirement is more frequent than the equivalent obligation in most comparable jurisdictions and is a common source of non-compliance for foreign-owned companies. Both meeting types are typically arranged and administered by the company secretary.
